一笔货款从"逾期"到"回款",中间有多个节点。每个节点该做什么、做到什么程度就该升级手段,是追收成败的分水岭。本文按时间顺序梳理外贸货款追收的全流程,帮您建立一张"追收地图"。
阶段一:内部催收(逾期0–30天)
逾期后前30天,通常是内部催收窗口:
- 先核查:是否因单据不符、质量争议、物流延误导致客户拒付——先排除客户"有理拒付"的情况;
- 分级催收:礼貌提醒→正式邮件→电话,留下完整沟通记录;
- 要求客户书面说明原因和预计付款时间——书面确认是重要的时效证据。
这一阶段的目标不是吵架,而是确认"客户是否有付款意愿",并留下证据。
阶段二:升级为律师函(逾期30–90天)
超过30天仍未解决,建议升级为律师函。律师函的价值:
- 表明"此事已进入法律程序轨道",促使客户认真对待;
- 中断诉讼时效,保留法律权利;
- 为后续仲裁/诉讼固定书面证据。
律师函通常给出7–15天宽限期。若客户回复并给出可行方案,可转入和解谈判;若无视或拖延,进入下一阶段。
阶段三:和解谈判(律师函后1–2个月)
和解不等于让步。好的和解方案应该是:分期+担保、部分减免换取一次性支付、以货抵债+差价补足。谈判要点:
- 所有方案书面化,由对方有权签字人签署;
- 优先争取担保(母公司保证、个人担保、资产抵押);
- 明确违约加速条款:任何一期逾期,全额到期。
阶段四:仲裁或诉讼(和解失败后启动)
依据合同争议解决条款选择仲裁或诉讼:
- 仲裁:裁决依据《纽约公约》在160多个缔约国可申请执行,是跨境贸易的主流选择;费用相对高但一裁终局、保密;
- 诉讼:在合同约定法院起诉,程序公开;判决执行依赖两国之间的互惠或条约安排。
启动前建议同步申请财产保全(冻结账户、查封货物),防止客户转移资产。保全通常需要提供担保或初步证据,各法域规则不同。
阶段五:裁决/判决执行
胜诉后的执行是另一场战役:
- 境内资产:委托当地律师执行,核心是找到资产线索(账户、房产、股权);
- 跨境执行:向资产所在地法院申请承认与执行,周期通常6–24个月;
- 执行不能时:调查债务人是否通过关联公司、亲属转移资产,必要时追究相关责任。

International Debt Collection: From Demand Letter to Arbitral Award
Between "overdue" and "recovered" there are several decision points. Knowing what to do at each stage — and when to escalate — is what separates successful recoveries from dead debts. This article maps the full export debt collection pathway.
Stage 1: Internal follow-up (days 0–30)
The first 30 days are usually the internal collection window:
- Check first whether the buyer has a legitimate reason not to pay: discrepant documents, quality disputes, or logistics delays;
- Escalate politely: reminder email → formal email → phone call, keeping a complete communication record;
- Ask the buyer for a written reason and a payment date — a written acknowledgment is critical limitation evidence.
The goal here is not confrontation; it is determining whether the buyer intends to pay, and preserving evidence.
Stage 2: Escalate to a demand letter (days 30–90)
If the matter is unresolved after 30 days, escalate to a lawyer's letter. Its value:
- Signals that the matter has entered a legal track, prompting the buyer to take it seriously;
- Interrupts the limitation period and preserves legal rights;
- Fixes documentary evidence for later proceedings.
A demand letter typically allows 7–15 days. If the buyer responds with a workable proposal, move to settlement talks; if ignored, escalate.
Stage 3: Settlement negotiation (1–2 months after the letter)
Settlement is not surrender. A good deal is: instalments plus security, a partial discount for immediate payment, or payment in goods with a balancing amount. Key points:
- Put everything in writing, signed by someone with authority;
- Push for security (parent guarantee, personal guarantee, asset collateral);
- Include an acceleration clause: any missed instalment makes the full amount due.
Stage 4: Arbitration or litigation
Choose the path per your contract's dispute resolution clause:
- Arbitration: awards are enforceable in 160+ New York Convention states — the mainstream choice in trade; higher cost, but final and confidential;
- Litigation: sue in the agreed court; proceedings are public; enforcement depends on reciprocity or treaties.
File for asset preservation (freezing accounts, seizing goods) at the same time to stop asset movement. Rules on security and evidence vary by jurisdiction.
Stage 5: Enforcement of the award or judgment
Winning is only the beginning:
- Domestic assets: use local counsel; the core task is locating executable assets (accounts, property, equity);
- Cross-border: apply to the courts where assets sit for recognition and enforcement, typically 6–24 months;
- If execution fails: investigate whether the debtor moved assets through affiliates or relatives, and pursue liability where possible.
