第一步:抓住术语的核心:风险、费用、义务三分
每个贸易术语都回答三件事:风险什么时候转移、费用谁承担、义务谁履行。判断一套术语是否适合你,别只看"到哪交货",要看货损风险点在哪一刻交出去、运费保险费是否会被视为你默示承担。这是选用一切术语的基础。
第二步:分清常见术语的差别
- EXW(工厂交货):风险在工厂交货时即转移,买方负责全部运输,卖方责任最小,但对卖方收款与货权约束最弱;\
- FOB(船上交货):卖方负责装船并承担至装船的费用与风险,运费归买方;\
- CIF(成本、保险加运费):卖方承担运费并按约投保,风险在装船港装船后转移给买方;\

第三步:结合追收场景选用术语

You have been exporting for years, but the FOB, CIF, or DDP line in your contracts is often copied from a buyer's template—and you are not fully sure what it really means. When goods arrive water-damaged and the buyer claims against you, you realise "who bears the risk" was never made clear; when freight spikes or customs stalls, you end up footing the bill. INCOTERMS 2020 is not a game of legal jargon. The term you pick decides the exact moment risk transfers, who pays freight and insurance, and who clears customs. Choose the wrong letter and you may face an uncollectable payment or a large claim. Getting it right saves far more than fixing it afterwards.
Step 1: grasp the core—risk, cost, obligations
Every trade term answers three questions: when risk transfers, who bears costs, and who performs obligations. To judge whether a term fits you, do not just look at "where delivery occurs"—ask where the risk point lies and whether freight or insurance is treated as implicitly yours. This is the foundation of choosing any term.
Step 2: know the difference between common terms
- EXW (Ex Works): risk transfers at the factory; the buyer arranges all transport, giving the seller minimal responsibility but also weak retention over title and payment; \
- FOB (Free On Board): the seller loads the goods and bears cost and risk until loading; freight is the buyer's; \
- CIF (Cost, Insurance and Freight): the seller pays freight and arranges insurance to an agreed extent; risk shifts to the buyer once goods are on board at the port of shipment; \
- DDP (Delivered Duty Paid): the seller bears all freight, insurance, customs clearance and import duties until delivery at destination—the heaviest responsibility; \
- On specifics such as who clears customs, whose policy covers the goods, and from which port risk shifts, rely on the INCOTERMS 2020 text and the contract.
Step 3: choose terms with collection in mind
- If you mainly worry about non-payment or losing control of goods, pick a term where risk and title pass early, and keep evidence (bills of lading, packing lists, customs documents); \
- If you worry about cargo damage claims, make the risk-transfer point and insurance responsibility clear rather than leaving damage risk with yourself; \
- For large orders, arrange the payment method (such as letter of credit or partial prepayment) together with the term, to avoid "goods shipped, payment not collected"; \
- The best term is not the one that looks most seller-friendly; it is the one under which the party best able to control the risk actually does so.
