海外客户拖欠货款后不再回复,企业往往同时面对三个问题:合同写的是哪国法律、对方资产在哪里、应先找中国律师还是当地律师。此时只把催款记录转给一位不熟悉跨境程序的律师,可能让时效继续流逝,也可能在资产已经转移后才发现错过保全窗口。國際律師的价值不在于承诺一定追回,而在于把不同法域的工作排成可执行顺序。
第一步:把案件事实压缩成一份决策材料
先建立时间线:签约、发货或服务、验收、开票、付款承诺、违约通知和对方最后一次回应。逐项保存合同、订单、发票、运输文件、付款流水、邮件和聊天原件。每份文件标注来源、日期、语言和证明目的,例如证明交付、证明欠款金额或证明对方承认债务。
國際律師需要先核对争议解决条款、被告主体和资产线索。公司名称相近、签约主体与付款主体不同、或担保人未签字,都会改变追收对象。未经授权取得账户资料或购买来源不明的个人信息,可能带来证据和合规风险,应避免使用。
第二步:确定主导法域与当地律师分工
通常要比较合同约定的法院或仲裁地、被告住所地和资产所在地。合同约定仲裁不等于所有措施都只能在仲裁地进行;在符合当地法律的前提下,可能还要在资产地评估临时保全或后续执行。中国律师可分析中国法、整理中文证据并协调沟通;外国程序应由当地有资质的律师根据当地法律处理。
要求國際律師书面说明:谁是主办联系人、何时需要当地律师、哪些意见属于中国法或外国法、重大决定由谁批准。这样可以减少多家律所反复阅卷和信息失真的成本。
第三步:先评估催收、保全还是直接程序
如果债务明确、对方仍在经营,结构清晰的律师函和限期谈判可能值得先行。但对方出现注销、频繁更换收款账户、低价转让资产或拒绝披露资料等信号时,应尽快让当地律师评估冻结令、禁令、证据保全或其他法律工具的条件。每项措施都需要事实和法律门槛,并非申请就会获准。
不要在谈判中随意承诺放弃利息、管辖或既有权利。任何延期付款、分期或和解,应写明金额、期限、违约后果、担保和适用法律,并由相关法域律师审阅。
第四步:用阶段预算管理费用
将工作拆为初步评估、催收谈判、保全、仲裁或诉讼、执行五段。每段要求经验区间、假设条件和可能新增费用。翻译、公证认证、专家、法院费用与当地律师费用是否包含,应在委托前写清。每超过预算或拟和解的节点,都应取得企业书面授权。

How an International Lawyer Handles a Cross-Border Dispute
When an overseas buyer stops responding after a missed payment, a business usually faces three questions at once: which law governs the contract, where are the assets, and should it first instruct Chinese or local counsel? Sending a demand record to a lawyer unfamiliar with cross-border procedure can waste a limitation or preservation window. An international lawyer should not promise recovery. The practical value is to put work across jurisdictions into an executable order.
Step 1: Turn the facts into a decision file
Build a chronology covering signing, delivery or services, acceptance, invoicing, payment promises, breach notices, and the last response. Preserve the contract, orders, invoices, shipping documents, bank records, emails, and original chat exports. Label each item by source, date, language, and purpose: delivery, amount due, or acknowledgement of debt.
Counsel should check the dispute clause, the correct defendant, and asset leads. Similar company names, different contracting and paying entities, or an unsigned guarantor can change the recovery target. Do not use unauthorised account access or questionable personal data; it can create evidential and compliance risk.
Step 2: Allocate jurisdictions and counsel
Compare the agreed court or arbitral seat, the defendant’s location, and asset locations. An arbitration clause does not necessarily answer every interim or enforcement question. Subject to local law, asset-country counsel may need to assess temporary relief or later enforcement. Chinese counsel can handle PRC-law analysis and Chinese evidence; foreign procedure should be handled by locally qualified lawyers.
Ask for a written allocation: who is the lead contact, when local counsel is needed, which advice is PRC law or foreign law, and who approves key decisions. This limits duplicate review and lost information.
Step 3: Choose demand, preservation, or proceedings
Where the debt is clear and the counterparty remains solvent, a structured demand and timed negotiation may be sensible. Where there are signs of dissolution, changing bank accounts, discounted transfers, or refusal to disclose, local counsel should promptly assess freezing orders, injunctions, evidence preservation, or equivalent remedies. Each has factual and legal thresholds; none is automatic.
Do not casually waive interest, jurisdiction, or rights during negotiation. A payment plan or settlement should state amount, timing, default consequences, security, and governing law, with review in the relevant jurisdiction.
Step 4: Control cost by stages
Separate assessment, demand, preservation, arbitration or litigation, and enforcement. Obtain ranges, assumptions, and possible extras for each stage. Confirm whether translation, notarisation, experts, court fees, and local counsel are included. Require written authority for material overruns and settlements.
