第一步:先行使知情权,把账查清楚

- 书面提出请求(写明目的),公司无理拒绝的,可提起"股东知情权之诉",法院可责令其提供;

第二步:评估是否构成挪用、侵占或利益输送

The company you hold shares in keeps reporting shrinking profits, yet the executive's cars, homes, and connected companies keep getting upgraded. When you finally review the contracts, you notice purchase prices well above market and a supplier that turns out to be run by the executive's relative—money has been quietly moved out. If you hesitate, the books can be smoothed, records destroyed, and related-party assets transferred before you act, taking the limitation period and the evidence window with them. Do not wait for the annual report. Here is how a shareholder can lawfully take action step by step.
Step 1: exercise inspection rights and pin down the accounts
- Under company law and related judicial interpretations, shareholders may inspect and copy the articles, board resolutions, and financial reports, and may request access to accounting books (raw vouchers depend on local practice);
- Make a written request (state the purpose); if the company unreasonably refuses, you can bring an "inspection (information rights) claim" and the court may order production;
- Key note: move quickly and fix all materials before the executive notices, to prevent tampering. China's Company Law and overseas corporate laws differ on inspection scope—follow local law/professional advice where unclear.
Step 2: assess whether this is misappropriation, embezzlement, or self-dealing
- Misappropriation / embezzlement: an executive using company funds for personal ends or taking them outright, which above certain amounts can be criminal;
- Related-party harm: dealing with connected parties off fair price, without disclosure and approval procedures, to the company's detriment;
- Self-dealing / competition: using corporate opportunities or resources for personal gain without authorization;
- Cross-check contracts, payment flows, and the related supplier's registration one by one to build a "money-flow map"—this is the evidentiary foundation for any later claim.
Step 3: pursue remedies through corporate governance first
- Where time and procedure permit, raise the matter at the shareholders'/board meeting and require the supervisory board (or supervisor) to pursue the executive;
- If the supervisory board fails or refuses to act, minority shareholders may bring a derivative action and claim damages in the company's name against the executive;
- If criminal conduct is involved, file a complaint with public security (embezzlement, misappropriation, trade-secret theft, etc.). Criminal and civil tracks can run in parallel—advancing both avoids choosing one at the expense of the other.
Step 4: preserve assets and recover funds in parallel
- At the first sign of wrongdoing, apply for asset preservation / freezing to stop the executive or related parties moving assets—this often decides whether the money is ever recovered;
- Identify the responsible person's equity, property, accounts, and related-company flows, adding joint wrongdoers where needed;
- Recovered funds return to the company and are then distributed to shareholders by ownership (or per the articles); they do not go straight to a shareholder's pocket.
